PLEASE REVIEW THESE TERMS AND CONDITIONS CAREFULLY.

BY USING THE SOFTWARE, YOU AGREE TO THESE TERMS AND CONDITIONS

These Terms and Conditions apply to all of ONEPIPE’s clients (the Client(s)), including, as applicable, Administrators and Users.

1. Definitions and Interpretation

In these Terms and Conditions except where the context otherwise requires, the following words and expressions shall have the following meanings. The definitions and rules of interpretation in this clause apply in these Terms and Conditions.

1.1    Account means a secure, password-protected, cloud-based organisational account through which the Client will access the Software in accordance with this Terms and Conditions;

          1.2    Admin / Platform Admin means the overseeing administrator or authority of the platform

1.3  Applicable Law means any common law, constitutional law, statute, regulation, guideline, circular, resolution, rule, ordinance, enactment, judgement, order, code, decree, directive, notification, clarification, guideline, policy, requirement or any other governmental direction having the force of law and any form or decision or any determination by or interpretation of any of the foregoing by any Competent Authority, now or hereafter in effect, in each case as amended, re-enacted or replaced to the extent applicable to the Parties, the Software, the Administrator and the Users, the data created by the Client on the Software, the payments made through the Software, this Terms and Conditions and all documents and policies that relate to this Terms and Conditions;

1.4       Business Day means a day other than a Saturday, Sunday or public holiday in Nigeria;

1.5       Biller means any organization or entity utilizing the platform.

1.6   Competent Authority means any regional, national, state, county, local or municipal authorities and other persons having statutory competence to promulgate rules and regulations having the force of law touching and concerning the matters contemplated in this Terms and Conditions and/or the Software and/or the Administrator or the Users and/or the data created on the Software;

1.7   Client Data means any data created by the Client or the Administrator or the Users that is ultimately stored at any time on the Account.

1.8    Documentation means all the ONEPIPE Knowledge Base and Help Centre articles available on via the Software at https://app.NOKRIN.com or such other web addresses notified by ONEPIPE to the Client from time to time which sets out the user instructions for the Software;

1.9   Mandate means specific authorizations or permissions established within the platform between the Platform Admin (Onepipe) and individual Billers. These mandates are linked or associated with the Supermandate, deriving their authority or permissions from it

1.10    Supermandate means the overarching authorization established between the Platform Admin (Onepipe) and NIBSS (Nigeria Inter-Bank Settlement System) that grants higher-level permissions or access rights.

• For the purposes of this Terms and Conditions, if a definition imposes substantive rights on a party to this Terms and Conditions such rights and obligations shall be given effect to and shall be enforceable notwithstanding that they are contained in a definition.

2.      CLIENT RESPONSIBILITIES

2.1    SOFTWARE DOCUMENTATION DELIVERY AND ACCEPTANCE

• In order to access and use an Account on the Software, the Client must first accept all terms of this Terms and Conditions and all the related documents that will be provided to the Client by ONEPIPE from time to time. This acceptance of this Terms and Conditions and the foregoing documents will be indicated by way of signature and shall have the force of law regardless of whether such signature is appended to a Terms and Conditions or a document manually or electronically, and signatures shall include digital selection by the Client or an Administrator of an “I Accept” box while using the Software.
• By using the Software, the Client agrees to receive important documents and notices electronically. This means that ONEPIPE may send documents to the Client through email or through the Account. The Client also confirms that ONEPIPE has the permission of the Users and the Administrator to receive information and documentation electronically.

• 2.2    ACCOUNT ADMINISTRATION

 In order to access and use the software, the Client will be required to create an account on the software.

The following guide ensures that the biller follows the necessary steps and validations required to create a profile while complying with all platform-specific requirements and policies;

1. Accessing the Web Application

• Navigate to the web application designed for creating mandates.

2. Sign Up/Login Options

• On the application, the client is presented with options to either sign up or log in.

3. Click on Sign Up

• The client selects the "Sign Up" option.

4. Inputting Details

• The application displays a signup screen with fields for:

• First Name
• Surname
• Company Name
• RC Number
• Mobile Number
• Email
• Password

• The client inputs their details into these fields.

5. Clicking on Sign Up

• After entering the necessary information, the client clicks on the "Sign Up" button.

6. System Validation and Account Creation

• The system validates the provided details.
• Upon successful validation, the system proceeds to create the client's account.
• It generates a unique 6-digit biller_code (e.g., sequential numbering like 000001, 000002, etc.) and associates it with the client's profile.

7. Email Verification and Welcome Email

• Simultaneously, the system initiates an email verification process for account setup.
• It sends a welcome email to the client's provided email address, containing instructions on completing the account setup.

8. Redirect to Dashboard

• Upon completion of the signup process and successful account creation, the application automatically redirects the client to their dashboard.

• 2.3      ACCOUNT INFORMATION

• For the Software to run and perform its functions, the Client will be required to aggregate and upload (in a format prescribed by the platform admin) data relating to its entity which includes the Company name, RC number, email, etc.
• The Client retains all rights, titles, and interest in and to the Client Data, and represents and warrants that the Client Data provided is accurate and complete and is provided to ONEPIPE without any obligations on ONEPIPE to verify the accuracy or completeness of such Client Data.
• ONEPIPE has no liability or responsibility for any consequences related to inaccurate or incomplete Client Data. Further, the Client acknowledges that ONEPIPE is not liable for any errors, penalties, fines, missed payments, judgments by competent tax authorities, incorrect coverage, unpaid taxes or any other losses incurred by the Client that result from inaccurate or incomplete Client Data or from the late provision of Client Data.

2.5       ACCOUNT SECURITY

• The Client bears full responsibility for securely and confidentially managing their Credentials. Any unauthorized use of the Account due to the Client's failure to implement security measures or maintain Credential confidentiality is accepted at the Client's risk. Consequently, the Client releases, defends, indemnifies, and holds harmless any liability associated with such unauthorized access. In the event of a suspected or actual compromise of the Account or Credentials, the Client must promptly notify ONEPIPE. ONEPIPE retains the right to restrict access to the Account if there are grounds to suspect compromise of the Account or its Credentials.
• The Client is fully and solely responsible for maintaining the privacy and security of its computer systems and mobile devices, those of its personnel and users, and for all activity on its Account.

3.        ELIGIBILITY

By engaging in the utilization of our Services, you affirm and warrant that you do not fall within the category of individuals prohibited by the governing laws of the relevant jurisdiction from receiving such services. Should you be accepting these Terms and engaging with the Services on behalf of a corporation, enterprise, or entity, you assert and guarantee that you possess the requisite authorization to act in such capacity.

4.         INTELLECTUAL PROPERTY

        Save for specific declarations, we or our licensors retain ownership of the intellectual property rights and materials comprising our Platform, subject to the following license terms. All content, encompassing text, formatting (inclusive of material arrangement on our Platform), graphics, animations, tools, advertisements, music, videos, articles, sounds, textual content, trade names, logos, and other informational materials on the Platform, are subject to our intellectual property rights or those of our licensors and licensees (collectively referred to as the "Content"). No right, license, title, or interest pertaining to our intellectual property rights is granted to you, regardless of whether access is available or not.

These contents are strictly prohibited from being copied, reverse-engineered, decompiled, disassembled, modified, or reposted onto alternative platforms. Nothing within our Platform should be construed as implicitly or explicitly granting any license or right to utilize any trademark exhibited on our Platform without our explicit written consent or that of the respective third-party trademark holder. You consent to undertake necessary actions, including the execution of any requisite documentation, to further affirm and support our intellectual property rights.

5.       ACCEPTABLE USE

By agreeing to these Terms, you agree to comply with our under listed acceptable use.

5.1. Certain Business Categories - You may not use our Services in connection with any product, service, transaction or activity that:

1. falls within the Prohibition List of the Nigerian Customs Administration of the Federal Republic of Nigeria.
2. relate to transactions that:

i.    show the personal information of third parties in violation of applicable law;

ii. support pyramid or ponzi schemes, matrix programs, other "get rich quick" schemes or certain multi-level marketing programs;

iii.  are associated with purchases of annuities or lay-away systems, off-shore     banking or transactions to finance or refinance debts funded by a credit card;

iv. pertain to ammunitions and arms; and

v. involve gambling

3. relates to the sale and/or purchase of:

 i.  banned narcotics, steroids, certain controlled substances or other products that present a risk to a consumer's safety;

ii.  blood, bodily fluids or body parts;

iii. burglary tools;

iv.  counterfeit items;

v.   illegal drugs and drug paraphernalia;

vi.  fireworks, destructive devices and explosives;

vii.  identity documents, government documents, personal financial records or personal information (in any form, including mailing lists);

viii. offensive material or hate speech or items that promote hate, violence, racial intolerance, or the financial exploitation of a crime;

ix.   police badges or uniforms;

x.    prohibited chemicals;

xi.   recalled items;

xii.  prohibited services;

xiii. unlicensed financial services, stocks or other securities;

xiv. stolen property;

xv. items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction;

xvi. sales of currency without BDC license, certain cryptocurrency operators;

xvii. obscene material or pornography;

xviii. certain sexually oriented materials or services;

xix.   certain firearms, firearm parts or accessories, ammunition, weapons or knives; or

xx. any product or service that is illegal or marketed or sold in such a way as to create liability to us.

6.     PROTECTION OF ONEPIPE’S NETWORK AND SOFTWARE

ONEPIPE reserves the right to protect its network and Software from external threats, including by restricting network access from various hosting providers, traffic proxies, and locations that would affect the Software or ONEPIPE’s network and systems.

           7.       DATA PRIVACY AND SECURITY

• ONEPIPE will process the Client’s Data in accordance with the terms set forth in ONEPIPE’s Data Privacy Policy. ONEPIPE will implement and maintain commercially reasonable and industry standard administrative, physical, organizational and technical safeguards designed to prevent unauthorized use, access, processing, destruction, loss, alteration or disclosure of any Client Data as further explained in ONEPIPE’s Data Privacy Policy.

8.       WARRANTY DISCLAIMER

We try to keep our platform and services available at all times, bug-free and safe, however, you use it at your own risk.

We provide the platform and the content “as is” with no warranty, express or implied, of any kind (including any implied warranty or condition of merchantability, fitness for a particular purpose, availability, security, title, and non-infringement of intellectual property rights). without limiting the generality of the foregoing, we make no warranty that our platform, products and services will meet your requirements or that our platform will be 100% fraud or fail-proof, remain free from any interruption, bugs, inaccuracies, and error-free. your use of our services are at your own risk and you alone will be responsible for any damage that results in loss of data or damage to your computer system. no advice or information, whether oral or written obtained by you from our platform or our services will create any warranty or condition not expressly stated.

ONEPIPE warrants that it shall use its best endeavours to ensure that the service operates optimally at all times in accordance with the best industry standards.

9.       LIMITATION OF LIABILITY

Under no circumstance shall we be liable for any direct, indirect, incidental punitive, consequential, special or exemplary damages, including damages resulting from revenue loss, profit loss, use, data, goodwill , business interruption or any other intangible losses (whether or not we have been advised of the possibility of such) arising out of our platform or services (including, without limitation to inability to use, or arising from the result of use of our platform or services) whether such damages are based on warranty, tort, contract, statute or any other legal theory.

Some jurisdictions do not allow exclusion of certain warranties or limitations on the scope and duration of such warranties, so the above disclaimers may not apply to you in their entirety but shall apply to the maximum extent permitted by applicable law.

10.     INDEMNIFICATION

You hereby indemnify us and undertake to keep us, our staff and affiliates indemnified against any losses, damages, costs, liabilities and expenses (including without limitation reasonable legal fees and expenses) arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms. You hereby undertake to indemnify and hold us harmless from and against any claim, suit or proceedings brought against us arising from or in connection with violations of Intellectual Property or other rights of third parties in relation to your use of the Services.

11.     BREACHES OF THESE TERMS

Without prejudice to other rights accruable to us under these Terms, any breach of these Terms will warrant our institution of such measures that we deem appropriate to deal with the breach, which may include but shall not be limited to suspending or prohibiting your access to and/or use of the platform and services blocking computers using your IP address from accessing our Services, contacting your internet service provider to request that they block your access to our Service and/or bringing court proceedings against you.        

12.     UPDATES, MODIFICATIONS AND AMENDMENTS

We retain the authority to periodically update, modify, alter, or revise these Terms. Any alterations will not apply retroactively. The most recent version of these Terms will consistently be available on this page, governing our association with you. We recommend regular checks of this page, referencing the date of the latest modification provided. Additionally, we endeavor to notify you of substantial changes, either through the email linked to your account or via service notifications. Your continued use of our Services subsequent to the implementation of changes signifies your acceptance and binding agreement to adhere to the revised Terms.

13.     GOVERNING LAW AND DISPUTE RESOLUTION

These Terms of Use shall be interpreted and governed by the laws currently in force in the Federal Republic of Nigeria. We shall make an effort to settle all disputes amicably. Any dispute arising out of these Terms which cannot be settled, by mutual Terms and Conditions/negotiation within 1 (one) month shall be referred to the exclusive jurisdiction of the Nigerian Courts.

14.      MISCELLANEOUS

In the event that any section or provision of these Terms is deemed invalid or unenforceable by a court or tribunal, whether in its entirety or in part, said portion shall be removed from these Terms without impacting the validity or enforceability of the remaining sections or provisions. Our failure to enforce any right or provision outlined in these Terms shall not constitute a waiver of such right or provision.
